New RCS formalities

The Luxembourg Business Register (LBR) is introducing a new requirement applicable to all Luxembourg entities, with a specific focus on natural persons listed in their records (such as managers, directors, partners, shareholders, day-to-day managers, auditors, and others).

1.  Modifications

Starting from November 12, 2024, any natural person registered or required to register with the RCS must provide a Luxembourg national identification number (LNIN), also known as a CNS number.
Entities, whether already established or in the process of being created, will need to update their records to include the LNIN for both residents and non-residents.

For non-resident natural persons in Luxembourg, the RCS will assign an LNIN upon the registration of a new entity or when modifying an existing entity.
Information provided in this context, such as nationality, address, or gender, will be collected by the National Register of Natural Persons. This information, along with the LNIN, will not be made public.

2.  Deadlines

This new procedure will be operational from November 12, 2024, and a transitional period of several months will be granted to allow compliance with these requirements, in accordance with the initial guidelines from the Luxembourg Business Register (LBR).
At the end of this period, registrations of legal entities will be blocked if the LNIN of all concerned natural persons has not been provided.

Kindly note that all required documents, such as a valid identification document and proof of residence dated within the last six months, need to be translated if they are not written in French, German, or English.
